Investors and corporate acquirers always need to perform due diligence on companies before they invest or acquire.
We have a consulting practice that specializes in performing corporate and financial due diligence. We have worked on behalf of the buyer in dozens of successful acquisitions and currently work with some large international companies as a virtual member of their M&A teams to assist in this regard.
Since we are completely independent, and not motivated by financial or political reasons to close a deal, you will be sure to get an objective and complete review.
We understand the sensitivities involved in this type of work, and that deals can be derailed by a poor due diligence process. Our independence, professionalism and thorough approach reduce the risk of conflicts and frustrations of a poorly run process. We make both parties feel comfortable that the process is fair, professionally managed and non-threatening.
There are two general levels of due diligence service we provide:
Corporate Assessment & Report
This type of service is appropriate for investors who want a quick analysis of the company in question, and identification of all major issues, strengths and weaknesses of the company. It is based on interviews with management, site visits and analysis of the company's financial statements and internal operating reports. We can also provide s upport for the valuation with data gathering and financial modeling using formal valuation methods.
This could be the best investment you make.
Time to complete this type of due diligence varies, depending on the size and complexity of the company, as well the level of cooperation and preparedness of management. Usually 2-4 days of work are required to give you a very good idea of whether you will want to pursue your investment and continue with full due diligence.
